1The agreement

These terms are an agreement between you and [Company legal name] (“Orbook”, “we”), registered at [Registered address]. They cover the Orbook web app, its API and the Client Portal (together, the “service”).

By creating an account you accept these terms, the Privacy Policy, the Risk Disclosure and the Acceptable Use Policy. If you use Orbook for a company or a client, you confirm you may bind them to these terms.

2Who may use Orbook

You must be at least 18 and legally able to enter into this agreement.

You may not use Orbook if you are located in, or a resident or citizen of, any of these places: [List of restricted countries and regions]. You also may not use it if you, or anyone you act for, appear on a sanctions list or are owned or controlled by someone who does. We may block access from restricted places and close accounts that break this rule.

It is your job to make sure that launching, trading or holding a token is legal where you and your clients are.

3Accounts and organizations

You sign up with an email and password or with Google, and verify your email with a code. Keep your credentials safe: you are responsible for everything done through your account.

Work happens inside an organization. Its Owner and Admins invite members and give each one a role: Owner, Admin, Trading Manager, Trader or Analyst. Each role decides what that member can see and do, including trading, moving treasury funds and exporting wallet keys.

  • The organization is responsible for what its members do in it, whatever their role.
  • The Owner controls which roles may export wallet keys, and whether export is allowed at all.
  • Removing a member stops their access. It does not undo transactions they already signed.

4What the service does

Orbook lets an organization create and fund wallets, launch a token on a supported launchpad or import an existing one, trade it, run automated strategies (Counter Trade, DCA, Limit Order and Snipe), move treasury funds, and share a read-only Client Portal.

Orbook is software. It is not a broker, exchange, custodian of customer assets in the regulatory sense, investment adviser or market maker. Nothing in the service is financial, legal or tax advice. You decide every launch, trade and strategy, and you are responsible for its outcome.

5Wallets and keys

Wallets you create in Orbook have their signing keys stored encrypted, and Orbook signs transactions with them when a member with the right role asks it to. You can also add watch-only wallets, which Orbook can see but never sign for.

  • Back up any key you need to keep. If you lose access to your account, we may not be able to restore access to its wallets.
  • An exported key leaves Orbook's protection. Whatever happens to it afterwards is your responsibility.
  • We never ask for your password or a key by email, chat or phone.

6Transactions are final

A blockchain transaction can't be reversed once it is confirmed. Orbook can't cancel, refund or recover a confirmed launch, trade, transfer or withdrawal, including one sent to a wrong address or made by a member of your organization.

Launches are reviewed before they are signed and some actions ask you to acknowledge a risk notice first. These checks help you catch mistakes; they don't guarantee a result.

7Fees

The Fees page in the app lists every fee charged to your organization. Current rates:

  • Trading: 1% of the trade.
  • Treasury swaps: 0.5%.
  • Wallet Farm generated activity: 1%.
  • Launch: 0.5% of the token supply. A $250 launch ticket exists but can't yet pay for live launches.
  • Deposits, withdrawals, transfers and wallet creation: free.

Network fees, launchpad fees and third-party provider fees (for example privacy funding) are separate and set by those parties. Fees are taken on-chain when the action runs and aren't refundable. We'll give notice before raising a rate.

8Launchpads, chains and other providers

Orbook works with blockchains, launchpads, DEXs, RPC and data providers, bridges and funding services that we don't run. They can change, pause or fail without notice. We aren't responsible for their rules, outages, fees or losses they cause. Some integrations are marked as not live yet in the app; don't rely on them.

9Client Portal

A Client Portal link shows a read-only view of a token to anyone who has the link, without a login. The organization chooses what it shows and who receives it, and can revoke it at any time. The organization is responsible for sharing it only with people allowed to see that information. See Privacy Policy, Client Portal.

10Acceptable use

You must follow the Acceptable Use Policy. It bans, among other things, market manipulation, deceptive launches, and using Orbook to get around sanctions or the law.

11Suspension and closing an account

We may suspend or close an account or organization that breaks these terms, puts other users or the service at risk, or when the law requires it. Where we can, we'll tell you first and give you time to move funds out of wallets Orbook holds keys for.

You can stop using Orbook at any time. Owners can delete an organization from Settings.

12Warranties and liability

The service is provided “as is”. We don't promise it will be uninterrupted, error-free or that any launch, trade or strategy will make money.

To the extent the law allows, Orbook isn't liable for indirect or consequential losses, lost profits, or losses from market movements, smart contracts, third-party providers, network failures or the actions of your organization's members. Our total liability is limited to [liability cap, e.g. fees paid in the last 12 months].

You agree to cover Orbook's losses from claims that arise because you broke these terms or the law.

13Changes to these terms

We may update these terms. We'll post the new version here with a new revision and, for material changes, tell Owners by email or in the app before they take effect. Using Orbook after that means you accept the new terms.

14Governing law and disputes

These terms are governed by [Governing law]. Disputes go to [Courts or arbitration seat]. Contact [legal@ email] first; most problems are solved faster that way.
